Terms of Service

1. Definitions

• "Baseline" means your average monthly revenue calculated from the 365 days of booking data preceding the start of the engagement, as described in Section 4.
• "Incremental revenue" means the amount by which your actual revenue in a given calendar month exceeds the Baseline for that month.
• "Services" means the revenue optimization services described in Section 2.
• "S.Germain" means S.Germain d.o.o., Planina pri Cerknem 1, 5282 Cerkno, Slovenia, company registration number 7545258000, VAT ID 18695728.

2. Services

S.Germain provides short-term rental revenue optimization, which may include, as agreed with each client:

• Dynamic pricing (algorithmic daily rate adjustments within floor and ceiling prices agreed with you)
• Listing optimization (titles, descriptions, amenity tags)
• Guest-attractiveness audits (a written report of recommended improvements)
• Coordination of professional photography
• Full property management, on the same commission-only basis, where separately agreed

The specific scope for your property is confirmed in writing (email is sufficient) before the engagement starts.

3. Commission and Payment

• The commission is 20% of incremental revenue, invoiced monthly.
• If revenue in a given month does not exceed the Baseline, the invoice for that month is EUR 0.
• There are no setup fees, monthly retainers, audit fees, or cancellation fees.
• Commission amounts are quoted net of VAT. VAT is added to invoices only if and when S.Germain is required to register for VAT.
• Invoices are payable within 14 days of issue. Statutory default interest may be applied to late payments in accordance with Slovenian law.
• Each invoice is accompanied by a breakdown showing the Baseline, actual revenue, incremental revenue, and commission calculation. You may request the underlying booking data at any time.

4. Revenue Baseline

• The Baseline is calculated from your last 365 days of booking data prior to the engagement, as the average monthly revenue across that period.
• Documented anomalies (for example, months in which the calendar was blocked for personal use or renovation) are excluded or adjusted by mutual agreement.
• The Baseline is adjusted for annual inflation for the duration of the engagement.
• The Baseline calculation is shared with you in full before the first invoice is issued.

5. Client Obligations

• You will provide accurate and complete booking and revenue data for the Baseline calculation.
• Platform access is granted through native co-host or team-member features. S.Germain does not require your password, except in rare cases where a platform technically requires it; in such cases a temporary password is used and you change it back immediately afterwards.
• You approve listing changes, floor and ceiling prices, and photography before they go live.
• Physical improvements recommended in the guest-attractiveness audit (typically under EUR 200 per unit) are implemented at your cost and remain your property.
• You remain responsible for complying with platform terms of service and with applicable short-term-rental regulations, registrations, and taxes in your jurisdiction.

6. Term and Termination

• The engagement begins with a minimum initial term of 90 days, which provides enough data to optimize effectively and enough time for you to evaluate results.
• After the initial term, the agreement continues month-to-month and either party may terminate with 30 days' written notice, without any cancellation fee.
• On termination, dynamic pricing ceases on the termination date. You keep all optimized listing copy, the audit report, and any templates or guides provided.
• Commission accrued up to the termination date remains due and is invoiced in the final monthly cycle.

7. Results and Projections

• Revenue projections, calculator estimates, and typical uplift figures published on this website are based on historical client results. They are estimates, not guarantees.
• Individual results depend on property condition, location, market demand, seasonality, and the client's implementation of recommendations.
• Because the commission is calculated only on measured incremental revenue above the agreed Baseline, no commission is due in months without measured uplift, regardless of any prior projection.

8. Intellectual Property

• Listing copy, titles, descriptions, and any photographs commissioned for your property are transferred to you upon payment of all outstanding invoices.
• S.Germain retains all rights to its pricing methodology, algorithms, tools, and internal templates.
• Aggregated, anonymised performance data may be used to improve S.Germain's pricing models, in accordance with the Privacy Policy. Individual property data is never published or shared in identifiable form.

9. Limitation of Liability

• S.Germain's total liability under or in connection with these terms is limited to the total commission actually paid by you in the three months preceding the event giving rise to the claim.
• S.Germain is not liable for indirect or consequential losses, loss of profit, decisions made by booking platforms (including search ranking changes, listing suspension, or account termination), or events of force majeure.
• Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Governing Law and Disputes

• These terms are governed by the law of the Republic of Slovenia.
• The courts in Ljubljana, Slovenia have jurisdiction over disputes arising from these terms, unless mandatory law provides otherwise.
• Where you act as a consumer, nothing in these terms affects your statutory rights.

11. Contact
